Throughout these Terms, “Virgo’s Alchemy,” “we,” “us,” and “our” refer to Virgo’s Alchemy. “You” and “your” refer to any visitor, user, customer, purchaser, subscriber, account holder, or other person who accesses or uses the Site.

Virgo’s Alchemy is a handmade art and ecommerce business offering original products, doll customizing-related content, resin doll eyes, custom creations, educational content, tutorials, reviews, blog content, artistic commentary, and related materials.

The Site is provided for lawful shopping, educational, informational, and general consumer use only. Your use of the Site is a limited privilege, not a vested right. We reserve the right to restrict, suspend, or terminate access to the Site or any portion of it at any time, with or without notice, where we believe necessary to protect the business, the Site, our customers, or our rights.

6. Intellectual Property Ownership

All content on the Site, unless otherwise expressly stated, is owned by Virgo’s Alchemy and/or its licensors and is protected by copyright, trademark, trade dress, unfair competition, and other intellectual property and proprietary rights laws.

Protected content includes, without limitation:

product designs;
resin eye designs;
custom artwork;
photos;
videos;
graphics;
logos;
branding;
shop layout and presentation;
product listings;
titles;
descriptions;
blog posts;
educational materials;
tutorials;
downloadable materials;
original design concepts;
compilations;
text;
formatting;
visual presentation.

No right, title, or interest in any Site content is transferred to you except the limited, revocable right to access and use the Site for its intended lawful purpose in accordance with these Terms.

7. Restricted Use of Content

Without our prior express written consent, you may not:

copy, reproduce, republish, upload, post, distribute, transmit, display, sell, license, or exploit any Site content;
trace, imitate, recreate, adapt, recast, repurpose, or create derivative works based on our product designs, images, writing, tutorials, branding, or visual presentation;
use our photos, videos, descriptions, or educational content in marketplace listings, ecommerce listings, social media promotions, advertisements, websites, or other commercial materials;
scrape, crawl, spider, data mine, harvest, or systematically extract Site content, customer-facing information, pricing, descriptions, reviews, imagery, or metadata;
use Site content, directly or indirectly, to train, fine-tune, improve, seed, benchmark, prompt, or populate any artificial intelligence, machine learning model, image generator, dataset, or automated system;
remove or alter copyright notices, watermarks, branding, or source identification;
falsely imply endorsement, affiliation, sponsorship, collaboration, authorization, or association with Virgo’s Alchemy;
copy, counterfeit, or commercially exploit our original handmade designs, design presentation, or brand identity.

Any unauthorized use of our content or intellectual property is a material breach of these Terms and may also violate applicable law.

8. Handmade Nature of Products

Virgo’s Alchemy specializes in handmade and artist-created goods. By purchasing from the Site, you acknowledge and agree that handmade items may naturally contain minor variations in color, shimmer placement, dome height, texture, finish, surface character, shape, and other artistic details.

These natural variations are part of the handmade nature of the work and do not automatically constitute defects. We make reasonable efforts to describe and photograph products accurately, but colors, finish, scale, and visual presentation may vary due to screens, lighting, photography, and the handmade process.

9. Orders, Product Availability, and Refusal of Service

All prices, offerings, product descriptions, shipping timelines, promotions, and availability are subject to change at any time without notice.

We reserve the right, to the fullest extent permitted by law, to:

limit quantities;
correct pricing, typographical, inventory, or listing errors;
discontinue products;
decline or cancel orders;
refuse service;
restrict transactions;
limit access to the Site or any feature.

We may do so for reasons including, without limitation:

suspected fraud;
suspected chargeback abuse;
suspected resale abuse;
suspected infringement;
inventory errors;
pricing mistakes;
misuse of the Site;
suspected harassment or malicious conduct;
suspected violations of these Terms.

Submission of an order does not guarantee acceptance.

10. Accounts and Security

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

You agree to provide accurate, current, and complete information and to update it as needed. We reserve the right to suspend or terminate accounts that are false, misleading, inactive, abusive, infringing, fraudulent, or otherwise in violation of these Terms.

conducts probing, scanning, automated attacks, denial-of-service activity, credential stuffing, brute-force attempts, or any other hostile or unauthorized technical activity;
impersonates Virgo’s Alchemy or any person or entity;
misrepresents your identity, affiliation, purpose, or authority;
uses the Site to gather information for copying, sabotage, harassment, undercutting, or competitive misuse;
manipulates or abuses checkout, refunds, chargebacks, reviews, contact forms, or communications systems;
interferes with our business relationships, customer relationships, operations, or reputation through unlawful, fraudulent, deceptive, or malicious conduct.

We reserve the right to investigate suspected misuse and to cooperate with law enforcement, payment processors, hosts, platforms, service providers, and legal authorities where appropriate.

12. User Content and Communications

If you submit any review, comment, message, testimonial, image, suggestion, email, or other content to us or through the Site (“Submissions”), you represent and warrant that:

you own or control the rights to the Submission;
your Submission is accurate to the best of your knowledge;
your Submission does not violate any law or any third-party right;
your Submission is not fraudulent, defamatory, obscene, abusive, threatening, infringing, invasive of privacy, or malicious.

By submitting content to us, you grant Virgo’s Alchemy a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, publish, display, adapt, store, and share that Submission for business purposes, including customer service, product pages, testimonials, marketing, and social media, unless otherwise prohibited by law or separately agreed in writing.

We reserve the right, but not the obligation, to remove, refuse, edit, or moderate Submissions.

13. Reviews, Honest Opinions, and Prohibited Misuse

Nothing in these Terms is intended to prohibit lawful, truthful, non-deceptive customer reviews, honest opinions, or other speech protected by applicable law. FTC guidance also makes clear that consumers must be able to share honest opinions about a business’s products, services, or conduct.

However, you may not use the Site, our name, our content, or our platforms to:

impersonate Virgo’s Alchemy or falsely claim authorization to speak for the business;
knowingly publish false statements of fact about Virgo’s Alchemy, its owner, products, or services;
submit fake reviews, manipulated reviews, or reviews not based on genuine experience;
fabricate non-delivery claims, damage claims, infringement reports, or chargebacks;
engage in coordinated harassment, fraudulent reporting, sabotage, or malicious interference with the business;
submit knowingly false complaints to processors, marketplaces, ad platforms, hosting providers, or law enforcement.

14. Tutorials, Suggestions, Reviews, and Educational Content Disclaimer

WE DO NOT WARRANT THAT THE SITE, EMAILS, FILES, DOWNLOADS, OR SERVERS WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT ANY PARTICULAR ARTISTIC, TECHNICAL, OR COMMERCIAL RESULT FROM THE USE OF ANY PRODUCT, TUTORIAL, INFORMATION, OR RECOMMENDATION.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRGO’S ALCHEMY AND ITS OWNER, OPERATORS, AFFILIATES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, PROPERTY, OR USE, ARISING OUT OF OR RELATING TO:

YOUR INABILITY TO ACCESS OR USE THE SITE;
ANY PURCHASE OR ATTEMPTED PURCHASE;
ANY RELIANCE ON TUTORIALS, REVIEWS, EDUCATIONAL CONTENT, OR OPINIONS;
ANY THIRD-PARTY WEBSITE, PRODUCT, OR SERVICE;
ANY SECURITY INCIDENT, INTERRUPTION, ERROR, OR UNAUTHORIZED ACCESS;
ANY MISUSE OF THE SITE BY YOU OR OTHERS;
ANY DAMAGE TO PERSON, PROPERTY, DOLL, PROJECT, TOOL, WORKSPACE, OR MATERIALS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, ANY PRODUCT, ANY SERVICE, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO VIRGO’S ALCHEMY FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (US $100.00).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS OR LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

18. Assumption of Risk

By using the Site and any products, tutorials, reviews, commentary, or educational materials made available through it, you knowingly and voluntarily assume all risks associated with your actions, materials, techniques, tools, purchases, experiments, and outcomes.

You agree that Virgo’s Alchemy is not responsible for injury, illness, dissatisfaction, failed results, allergic reaction, property damage, project damage, damage to dolls or tools, financial loss, or any other consequence arising from your use or misuse of Site content, products, recommendations, or third-party items discussed on the Site.

19. Indemnification

You agree to defend, indemnify, and hold harmless Virgo’s Alchemy and its owner, operators, affiliates, contractors, licensors, service providers, and representatives from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

We reserve the right to remove or disable allegedly infringing material and to terminate repeat infringers where appropriate.

21. Termination

We may, at any time and without prior notice, suspend, restrict, block, or terminate your access to the Site, cancel your account, refuse service, decline transactions, remove content, or take other protective action if we believe, in our sole discretion, that:

you violated these Terms;
you misused the Site;
you infringed our rights;
you posed legal, operational, technical, payment, security, or reputational risk;
your conduct was abusive, fraudulent, harassing, malicious, or otherwise harmful.

Sections that by their nature should survive termination will survive termination, including without limitation those concerning intellectual property, disclaimers, limitation of liability, indemnification, arbitration, class waiver, governing law, venue, and enforcement.

22. Governing Law

These Terms, your use of the Site, and any dispute arising out of or relating to the Site, products, services, or these Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-laws principles, except to the extent federal law, including the Federal Arbitration Act, governs the interpretation or enforcement of the arbitration provisions below. Written arbitration agreements in contracts involving commerce are generally enforceable under the FAA.

23. Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

A. Agreement to Arbitrate

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any purchase, any product, any service, any communication, any content, or any relationship between you and Virgo’s Alchemy, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved by final and binding individual arbitration, rather than in court, except as otherwise expressly provided in these Terms.

B. Governing Arbitration Law

This arbitration agreement shall be governed by the Federal Arbitration Act (“FAA”) and applicable federal arbitration law. If the FAA is found not to apply, then the arbitration law of the State of Texas shall apply to the fullest extent permitted by law.

C. Arbitration Administrator and Rules

The arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable consumer arbitration rules in effect at the time the claim is filed, as modified by these Terms.

D. Informal Dispute Resolution First

Before initiating arbitration, the party bringing the claim must send written notice of the dispute to the other party describing the nature of the claim and the relief requested. You must send notices to support@virgosalchemy.com
. We may send notice to the email or mailing address associated with your account or order.

The parties agree to attempt in good faith to resolve the dispute informally for at least 30 days after the notice is sent before starting arbitration.

E. Arbitration Format and Location

Unless the parties agree otherwise, arbitration shall take place by submission of documents, by video, or, if required, in Tarrant County, Texas. Any in-person hearing shall take place in Tarrant County, Texas, unless the applicable rules require otherwise.

F. Arbitrator’s Authority

The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration provision is void or voidable, except that a court of competent jurisdiction may determine issues that are expressly reserved to a court under these Terms.

The arbitrator may award any individual relief permitted by applicable law, but only on an individual basis and only to the extent necessary to resolve the individual claim.

G. Exceptions

Notwithstanding the foregoing, either party may:

bring an individual action in small claims court if the claim qualifies;
seek temporary, preliminary, or permanent injunctive relief or other equitable relief in court for actual or threatened intellectual property infringement, misappropriation, unauthorized scraping, unauthorized AI/data use, breach of confidentiality, account compromise, fraud, chargeback abuse, security abuse, or other misuse that may cause immediate or irreparable harm;
seek to enforce an arbitration award in a court of competent jurisdiction.

24. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION OR PROCEEDING.

THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT PERSONS, AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, MASS, COORDINATED, OR REPRESENTATIVE PROCEEDING.

IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM OR REQUEST FOR RELIEF, THEN THAT CLAIM OR REQUEST FOR RELIEF SHALL BE SEVERED AND PROCEED IN A COURT OF COMPETENT JURISDICTION, AND THE REMAINING CLAIMS SHALL BE ARBITRATED.

25. Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND VIRGO’S ALCHEMY WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE, EXCEPT TO THE EXTENT SUCH WAIVER IS NOT PERMITTED BY APPLICABLE LAW.

26. Venue for Court Proceedings

To the extent any dispute is not subject to arbitration, or where a court proceeding is permitted under these Terms, the parties agree that exclusive venue shall lie in the state or federal courts located in Tarrant County, Texas, to the extent permitted by law, and each party consents to the personal jurisdiction of those courts.

27. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

28. Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

If the arbitration provision is found unenforceable in part, the unenforceable portion shall be severed and the remainder enforced to the fullest extent permitted by law, except as provided in the Class Action Waiver section above.

29. Entire Agreement

These Terms, together with our Privacy Policy and any additional posted policies or legally operative notices on the Site, constitute the entire agreement between you and Virgo’s Alchemy regarding your use of the Site.
